Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Flow GRC Inc. (“Flow,” “we,” “us,” or “our”) regarding your use of the Flow governance, risk, and compliance platform and related services (collectively, the “Service”).
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
Description of Service
Flow provides a cloud-based governance, risk, and compliance platform that enables organizations to:
- Manage and assess organizational risks
- Maintain compliance with regulatory frameworks
- Implement and monitor internal controls
- Generate compliance reports and documentation
- Facilitate audit processes and evidence collection
- Manage vendor and third-party risk assessments
Account Registration and Eligibility
Eligibility
To use our Service, you must:
- Be at least 18 years old
- Have the legal capacity to enter into binding agreements
- Represent an organization with legitimate business purposes
- Comply with all applicable laws and regulations
Account Responsibilities
You are responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized use of your account
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:
- Violate any applicable laws, regulations, or third-party rights
- Use the Service for any fraudulent, abusive, or harmful activities
- Attempt to gain unauthorized access to our systems or other users’ accounts
- Interfere with or disrupt the Service or its security features
- Reverse engineer, decompile, or attempt to extract source code
- Use automated tools to access the Service without our permission
- Upload or transmit viruses, malware, or other harmful code
- Violate the privacy or rights of other users
Data and Privacy
Your Data
You retain ownership of all data you submit to the Service (“Customer Data”). You grant us a limited license to use Customer Data solely to provide the Service to you.
Data Security
We implement industry-standard security measures to protect your data, including:

Data Processing

Subscription and Payment

Payment Terms
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are non-refundable unless otherwise specified
- You authorize us to charge your payment method for all applicable fees
- We may suspend or terminate service for non-payment
Price Changes
We may change our pricing with at least 30 days’ notice. Price changes will take effect at the start of your next billing cycle.
Intellectual Property
Our Rights
Flow retains all rights, title, and interest in the Service, including all software, technology, content, and intellectual property rights. This includes trademarks, copyrights, patents, and trade secrets.
License to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.
Feedback
Any feedback, suggestions, or improvements you provide regarding the Service may be used by Flow without any obligation to you.
Service Availability
While we strive to maintain high availability, we do not guarantee uninterrupted access to the Service. We may experience downtime for:
- Scheduled maintenance and updates
- Emergency repairs or security measures
- Force majeure events beyond our control
- Third-party service provider issues
We will provide reasonable notice of planned maintenance when possible.
Termination
Termination by You
You may terminate your account at any time by contacting our support team or through your account settings.
Termination by Flow
We may terminate or suspend your access to the Service:
- For breach of these Terms
- For non-payment of fees
- For violation of our Acceptable Use Policy
- If required by law or regulation
- To protect the security and integrity of the Service
Effect of Termination
Upon termination:
- Your access to the Service will be immediately revoked
- We will provide you with access to export your data for 30 days
- We may delete your data after the export period expires
- All outstanding fees remain due and payable
Disclaimers and Limitations
Service Disclaimer
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, Flow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Maximum Liability
Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount paid by you to Flow in the twelve (12) months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Flow and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising from these Terms or the Service will be resolved through binding arbitration in accordance with the rules of the Canadian Arbitration Association.
You waive any right to participate in class action lawsuits or class-wide arbitration against Flow.
General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Flow regarding the Service.
Modifications
We may modify these Terms at any time by posting the updated Terms on our website. Material changes will be communicated to you via email or through the Service.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms without restriction.
